2.1. You may not register on the Ibtekr Club website if you are under 16 years of age and you therefore acknowledge that you are over this age (when using the Ibtekr Club store or agreeing to these general terms and conditions, you acknowledge and warrant that you are at least 16 years of age)

2.2. If you register to open an account on the Ibtekr Club store, you will be asked for an email address/username and password and you agree to the following:

2.2.1. Maintain the confidentiality of your password;
2.2.2. Notify Ibtekr Club immediately (through the means of communication described in Section 23) in the event that your password is disclosed;
2.2.3. You acknowledge that you are responsible for any activity on the Ibtekr Club store resulting from your failure to maintain the confidentiality of your password, and that you may be held responsible for any losses arising from such failure.

2.3. You are committed to using the account alone and may not transfer that account to any third party and you are responsible in the event that you delegate the management of your account to any third party.

2.4. Ibtekr Club has the right, at its sole discretion and without prior notice or giving reasons, to suspend or cancel your account, and/or modify the account information, with Ibtekr Club being obligated to refund the value of any products or services you have purchased on the store as long as you have not violated these general terms and conditions. See Section 4.2 below for more information on refunds.

2.5. You can cancel your account on the Ibtekr Club store by contacting us as stated in Clause No. 26.

3.1. You acknowledge and agree that:

3.1.1.Ibtekr Club Store is a website for sellers to sell their products and for buyers to purchase such products;
3.1.2. Ibtekr Club will accept binding sales on behalf of the seller, but (unless Ibtekr Club is the selling party) Ibtekr Club shall not be considered in any way a party to the transaction between the seller and the buyer; and
3.1.3. A contract for the sale and purchase of the product or products is concluded between the seller and the buyer and therefore you are committed to purchase or sell the product or products upon the buyer confirming the purchase through the Ibtekr Club website.

3.2. The contract for the sale and purchase between the buyer and the seller is subject to the terms of the seller’s business in accordance with these general terms and conditions, however the following provisions are added to the contract for the sale and purchase between the buyer and the seller:

3.2.1. The sale is at the same price as the product listed in the product list;
3.2.2. The price of the product includes all types of taxes, taking into account all applicable laws in Egypt;
3.2.3. Delivery, packaging, transportation, administrative fees, insurance costs, and other additional costs and charges shall be paid by the Buyer only if such charges and costs are clearly stated on the Product Listing;
3.2.4. The Products shall be of satisfactory quality to the Buyer, fit and safe for any purpose specified in the Product Description listed and shall conform to all physical specifications as per the Product Description listed by the Buyer on the Innovate Club Website;
3.2.5. The Seller warrants, with respect to the Products transferred, that it has the right to sell the Products, that it is the sole legal and beneficial owner of the Products, and/or has the right to supply the Products in accordance with this Agreement and that the Products are not subject to any third party rights or restrictions including third party intellectual property rights and/or criminal proceedings, insolvency, investigations or tax proceedings; and the Seller warrants, with respect to Digital Products, that it has the right to supply such Digital Products to the Buyer.
3.2.6. Seller warrants that if such terms exist in the product sold, Seller will provide a detailed disclosure of the terms and conditions of the product, any applicable warranty and any other terms necessary to inform the buyer of the product and its use in the specifications section provided on each product page.

4.1. Returns of products by buyers and acceptance of returned products by sellers are managed by Ibtekr Club in accordance with the returns page on the Ibtekr Club website, as may be amended from time to time. Acceptance of returned products is at Ibtekr Club’s sole discretion and is subject to the laws in force in Egypt.

4.2. Refunds of returned products are managed in accordance with the refund page on the Ibtekr Club website, as may be amended from time to time. Ibtekr Club’s rules regarding refunds apply at Ibtekr Club’s discretion, taking into account the laws in force in Egypt. Ibtekr Club may offer a refund of the value of returned products at its discretion, taking into account the following:

4.2.1. The price of the product;
4.2.2. Local and/or international shipping fees (as indicated on the refund page);
4.2.3. The value of the product is refunded by depositing a balance in the account on the Ibtekr Club website, or in the electronic wallet, or by purchase vouchers, or a transfer via phone, or a bank transfer or any other method that we may determine from time to time.
4.2.4. In case the money transfer is rejected by the post office/bank, the relevant department will contact you to request new refund information. In case you do not respond, a message will be sent to you via the email registered with us and we will wait for your response with the correct information, with trying again at a later time. In case 10 working days pass without any response, the money will be automatically transferred to a purchase voucher and you will not be able to transfer the value of this voucher via the bank or post office.

4.3. Returned products are accepted and the value of the returned products is refunded by Ibtekr Club on behalf of the seller.

4.4. Amendments made to the returns page or refunds page apply to all purchases starting from the date of publishing the amendment on Ibtekr Club website.

5.1. Payments due under these General Terms and Conditions shall be made in accordance with the payment information and instructions on Ibtekr Club Store.

6.1. Store Credits may be earned and managed in accordance with Ibtekr Club Store Credit Terms and Conditions, which may be amended from time to time. Ibtekr Club reserves the right to cancel or withdraw Ibtekr Club Store Credit Rewards for any reason at its sole discretion, including if we suspect fraud or manipulation. You can view Ibtekr Club Store Credit Terms and Conditions and any information about Ibtekr Club Store Credit on our website and mobile application.

7.1. Offers and competitions run by Ibtekr Club and/or other promoters are managed in accordance with the terms and conditions of the offers and you can view the terms and conditions of the applicable offers on our website or mobile application.

7.2 The number of pieces available for a single product to the buyer is determined by the shopping cart in order to ensure that the largest possible number of users will benefit from the offer and accordingly in the event of repeating the order twice your order may be subject to cancellation.

8.1. In these General Terms and Conditions, “Your Content” means:

8.1.1. all works and materials (including, but not limited to, written text, graphics, images, audio, video, audio-visual materials, manuscripts, software and files) that Seller sends to Ibtekr Club for storage, publication, processing or subsequent transmission;

8.1.2. all communications on Ibtekr Club website, including product reviews, ratings and comments.

8.2. Your Content and Ibtekr Club’s use of such Content must be accurate, complete and truthful in accordance with these General Terms and Conditions.

8.3. Your Content must be appropriate, civil and tasteful and comply with generally accepted standards of etiquette and conduct on the Internet, and must not:

8.3.1. be offensive, indecent, indecent, pornographic, vulgar, suggestive or sexually explicit; or
8.3.2. that depicts violence in an explicit, graphic or gratuitous manner; or
8.3.3. that advocates the violation of laws relating to racism, religion, hatred or discrimination;
8.3.4. that is deceptive, fraudulent, threatening, harassing, anti-social, hateful, discriminatory or inflammatory content;
8.3.5. that is likely to cause annoyance, inconvenience or needless anxiety to any person; or
8.3.6. that is spam or objectionable.

8.4. Your Content must not be unlawful or illegal, violate the legal rights of any person, or give rise to legal action against any person (in any case, in any jurisdiction and under any applicable law) and Your Content must not infringe or violate:

8.4.1. any copyright, moral rights, database rights, trademark rights, design rights, rights to use intellectual property or any other intellectual property rights.
8.4.2. Any rights of confidence, privacy or rights under data protection laws;
8.4.3. Any contractual obligation owed to any person; or
8.4.4. Any judgment under any court order.


8.5. You agree not to use the Site to link to any website or web page that contains or provides content that would violate the General Terms and Conditions if posted on Ibtekr Club website.

8.6. You agree not to display any content on the Ibtekr Club website that is or has been the subject of any legal proceedings or other similar complaint from any third party.

8.7. Ibtekr Club rating feature is used to facilitate the evaluation of products by the buyer and you may not use the rating feature or any other form of communication to provide inaccurate, false or fictitious ratings.

8.8. You agree not to interfere in any type of transaction by: (i) contacting another user to buy or sell a product listed on Ibtekr Club store outside Ibtekr Club website; or (ii) contact a user with active or completed transactions to warn them of a particular buyer, seller or product; or (iii) contact another user with the intent to collect any payment.

8.9. You acknowledge that all users of Ibtekr Club Store are solely responsible for their interactions with other users and you must exercise caution when communicating with users and not send personal information including credit card details to users.

8.10. Ibtekr Club may periodically review your content and may remove any content at its discretion for any reason.

8.11. You shall immediately notify Ibtekr Club if you become aware of any illegal content or activity on Ibtekr Club Site or any content or activity that violates these General Terms and Conditions, by contacting Ibtekr Club in accordance with Section 23 of the General Terms and Conditions.

9.1. You grant to Ibtekr Club a non-exclusive, irrevocable, royalty-free, worldwide license to use, reproduce, copy, publish, translate and distribute Your Content through Ibtekr Club’s marketing channels and any existing or future media.

9.2. You grant to Ibtekr Club the right to sublicense the rights licensed under Section 9.1 to third parties.

9.3. You grant to Ibtekr Club the right to bring an action for infringement of the rights licensed under Section 9.1.

9.4. You hereby waive all of your moral rights in Your Content to the fullest extent permitted by applicable law; and you represent and warrant that all other moral rights in Your Content have been waived to the fullest extent permitted by applicable law.

9.5. If you violate the Content Rules in any way, or if Ibtekr Club reasonably suspects that you have violated the Content Rules, Ibtekr Club may delete, unpublish or modify any or all of the Seller Content without prejudice to Ibtekr Club's other rights under these General Terms and Conditions.

10.1. In Section 10, the words “Store” and “Site” will be used interchangeably to refer to Ibtekr Club website and mobile applications.

10.2. You may:

10.2.1. View pages from Ibtekr Club website in a browser;
10.2.2. Download pages from Ibtekr Club website for temporary storage;
10.2.3. Print pages from Ibtekr Club website for personal, non-commercial use, provided that such printing is not periodic or excessive;
10.2.4. Download audio and video files from Ibtekr Club website using the video and audio player; and
10.2.5. Use our Store services via a browser,
Subject to the other provisions of these General Terms and Conditions.

10.3. Except as permitted in Section 10.2 or other provisions of these General Terms and Conditions, you undertake not to download any content from the Ibtekr Club website or save any such content on your computer.

10.4. Ibtekr Club website may only be used for your personal and commercial purposes in connection with the sale or purchase of products on Ibtekr Club website.

10.5. You agree not to modify or alter any content on Ibtekr Club website, except as expressly permitted in these General Terms and Conditions.

10.6. If you do not own or control any rights to any content on Ibtekr Club website, you agree not to:


10.6.1. republish the content on Ibtekr Club website (including republication on another website);
10.6.2. sell, rent or license content from Ibtekr Club website;
10.6.3. publicly display any content from Ibtekr Club website;
10.6.4. exploit the content for commercial purposes; or
10.6.5. redistribute the content.

10.7. Notwithstanding the provisions of Section 10.6, you may redirect links to products and redistribute Ibtekr Club newsletter and Ibtekr Club promotional content in print or electronic form to any person.

10.8. Ibtekr Club may suspend or restrict access to Ibtekr Club website in whole or in part and/or use of any feature on Ibtekr Club website, for example, Ibtekr Club may suspend access to the website during server maintenance or updates to Ibtekr Club website, provided that you undertake not to circumvent or bypass any access procedures to Ibtekr Club website.

10.9. You undertake not to:


10.9.1. Use Ibtekr Club website in any way or take any action that would or may cause damage to the website or impair the performance, availability, accessibility, integrity or security of the website;
10.9.2. Use Ibtekr Club Site in any unethical, illegal, unlawful, fraudulent or harmful manner, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;
10.9.3. Hack or tamper with Ibtekr Club Site;
10.9.4. Probe, scan or test the Site without Ibtekr Club’s permission;
10.9.5. Circumvent any authentication or security systems or procedures on or relating to our Site;
10.9.6. Use Ibtekr Club Site to copy, store, host, transmit, send, use, publish or distribute any Content which consists of (or is related to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software;
10.9.7. Imposing an unreasonably large load on Ibtekr Club Site’s resources (including bandwidth, storage capacity and processing capacity);
10.9.8. decrypt any communications sent by or to our Site without permission from Ibtekr Club;
10.9.9. conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data gathering) on ​​or in relation to our Site without our express written consent;
10.9.10. access or interact with Ibtekr Club’s Site by using any robot, spider or other automated means, except for the purpose of search engine indexing;
10.9.11. use our Site except through our public interface;
10.9.12. use data collected from Ibtekr Club’s Site for any direct marketing activity (including, without limitation, email marketing, SMS marketing, telemarketing and direct mail); or
10.9.13. do anything that interferes with the normal use of Ibtekr Club’s Site.

11.1. Subject to the express provisions of these General Terms and Conditions:

11.1.1. Ibtekr Club, together with its licensors, owns all copyright and other intellectual property rights in Ibtekr Club website and all content on the website; and
11.1.2. All copyright and other intellectual property rights in Ibtekr Club website and the content on the website are reserved. 

12.1. Sellers agree to process their personal data in accordance with the Privacy and Cookie Notice of Ibtekr Club.

12.2. Ibtekr Club processes all personal data obtained through Ibtekr Club Store and related services in accordance with the Privacy and Cookie Notice and Privacy Policy.

12.3. Sellers shall bear full responsibility directly towards Buyers in the event of misuse of Buyers’ personal data and Ibtekr Club shall not bear any responsibility towards Buyers in the event of misuse of Buyers’ personal data.

13.1. Ibtekr Club operates an anti-money laundering program and reserves the right to conduct due diligence checks on all Ibtekr Club Store users.

13.2. You undertake to provide all information and documents related to your business activity as well as the possibility of entering your business premises upon our request and for the following reasons:

13.2.1. In order to verify your compliance with the terms and conditions of this contract and to perform your obligations under it;
13.2.2. For the purpose of providing disclosures pursuant to an order issued by a court or other governmental body; or
13.2.3. As required by applicable law or regulations.

14.1. You acknowledge that:

14.1.1. Ibtekr Club facilitates a store for buyers and third party sellers or Ibtekr Club, where Ibtekr Club is the seller of the product;
14.1.2. The seller of the product (whether Ibtekr Club is the seller or a third party seller) shall at all times remain solely responsible for the products sold through the store; and
14.1.3. In the event of a problem resulting from the purchase of a product from the store, the buyer must resort to the seller of the product by following the procedures set out in Ibtekr Club’s Dispute Resolution Policy.
14.1.4. In the event that the customer places an order for more than one piece of the same product or more than one order for the same piece, this will be considered a commercial order and all orders will be cancelled and only one product will be kept even if the order is confirmed.


14.2. .We undertake to ensure that Ibtekr Club or any third party seller, as applicable, provides complete, accurate and up-to-date information relating to their products on the Store and accordingly:

14.2.1. The relevant seller warrants and represents that the information relating to their products published on our Store is complete and accurate;
14.2.2. The relevant seller warrants and represents that the materials on the Store are up-to-date; and
14.2.3. If a buyer has a complaint regarding the accuracy or completeness of the product information received from a seller (including when Ibtekr Club is the seller), the buyer may resort to the relevant seller by following the procedure set out in Ibtekr Club’s Dispute Resolution Policy.

14.3. We do not warrant or represent that the Store will operate without error; or that the Store or any service in the Store will remain available during events beyond Ibtekr Club’s control (Force Majeure Events) which include but are not limited to floods, droughts, earthquakes or other natural disasters; hacking, viruses, malware or other malicious software attacks on the Store; Terrorist attacks, civil war, civil unrest or riots; war or threat or preparation for war; epidemics; or unconstitutional events or conditions that materially and adversely affect the overall political or economic stability of the region.

14.4. We reserve the right to discontinue or change any or all of our Store Services, and to cease publishing our Store, at any time in our sole discretion without notice or explanation; and you will not be entitled to any compensation or other payments upon discontinuing or changing any of our Store Services, or if we cease publishing the Store, without prejudice to your rights with respect to any unfulfilled orders or other obligations on Ibtekr Club.

14.5. If we discontinue or change any or all of our Store in circumstances other than Force Majeure, we will provide buyers and sellers with at least fifteen (15) days’ advance notice with clear instructions on how to proceed with pending transactions or other obligations on Ibtekr Club.

14.6. We do not guarantee any commercial results related to the use of the Store.

14.7. We exclude all representations and warranties relating to the subject matter of these General Terms and Conditions, our Store and the use of our Store to the maximum extent permitted by applicable law and in accordance with clause 15.1 below.

15.1. Nothing in these General Terms and Conditions:

15.1.1. limits any liabilities in any way that is contrary to what is provided by applicable law; or
15.1.2. excludes any liabilities or legal rights that may not be excluded by law;

15.2. The limitations and exclusions of liability set out in clause 15 and other provisions of these General Terms and Conditions:

15.2.1. are subject to clause 15.1 of the General Terms and Conditions;
15.2.2. govern all liabilities arising under these General Terms and Conditions or in connection with the subject matter of these General Terms and Conditions, including civil liability arising from tort (including negligence) and breach of statutory obligations, except as expressly provided in these General Terms and Conditions.

15.3. Ibtekr Club shall not be liable to you for any loss or damage of any kind arising from the Services provided free of charge;

15.4. The total liability of Ibtekr Club to you in respect of any contract for the provision of services to you under these General Terms and Conditions shall not exceed the total amount paid or payable to Ibtekr Club under that contract and each separate transaction on Ibtekr Club Store shall be a separate contract for the purposes of this Section 15،4.

15.5. Without prejudice to Section 15.4, Ibtekr Club shall not be liable to you for any loss or damage of any kind, including in respect of:

15.5.1. any losses arising from any interruption or malfunction of the Site;
15.5.2. any losses arising from any event or events beyond Ibtekr Club’s reasonable control;
15.5.3. any business losses, including, without limitation, loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill;
15.5.4. any loss or corruption of any data, database or software; or
15.5.5. any special, indirect or consequential loss or damage.

15.6. Please note that order details cannot be modified after order has been placed, so please check that the information provided in your order such as your telephone number, name and address is correct. Ibtekr Club is not responsible for any cancellations that may occur as a result of errors in the delivery details.

15.7. It is in Ibtekr Club’s best interest to limit the personal liability of its officers and employees, and with this interest in mind you acknowledge that Ibtekr Club is a limited liability entity; and you agree and undertake that you will not bring any personal action against Ibtekr Club’s officers or employees in respect of any losses you suffer in connection with the Ibtekr Club Store or these General Terms and Conditions (this will not limit or exclude the liability of the limited liability entity for the acts or omissions of Ibtekr Club’s officers and employees).

15.8. Ibtekr Club’s website contains hyperlinks to other websites owned and operated by third parties; These links are not recommendations and we have no control over, and accept no responsibility for, third party sites or their contents or for any loss or damage that may arise from your use of them.

16.1. You hereby undertake to indemnify Ibtekr Club against:

16.1.1. any and all losses, damages, costs, liabilities and expenses (including, without limitation, legal expenses and any amounts incurred by Ibtekr Club to any third party in settlement of a claim or dispute) incurred by Ibtekr Club arising directly or indirectly from your use of the Ibtekr Club Store or any breach by you of any provision of these General Terms and Conditions or Ibtekr Club’s provisions, policies or guidelines; and
16.1.2. any liability for VAT or any other tax liability Ibtekr Club may incur in connection with any sale, supply or purchase made through Ibtekr Club Store, arising from your failure to pay, withhold, declare or register for the payment of VAT or any other tax due in any jurisdiction.

17.1. If Ibtekr Club allows you to register an account on Ibtekr Club Store, it will remain indefinitely, subject to these General Terms and Conditions.

17.2. If you breach any of the obligations contained in these General Terms and Conditions, or if Ibtekr Club suspects that you have breached the General Terms and Conditions or any of Ibtekr Club’s provisions, policies or guidelines in any way, Ibtekr Club shall have the right to:

17.2.1. temporarily suspend your access to Ibtekr Club Store;
17.2.2. permanently block you from accessing Ibtekr Club Store;
17.2.3. block computers using your IP from accessing Ibtekr Club Store;
17.2.4. contact any or all of your Internet Service Providers and request that they block your access to Ibtekr Club Store;
17.2.5. suspend or delete your account from Ibtekr Club Website; and/or
17.2.6. Commence legal action against you, whether for breach of contract or otherwise.

17.3. You agree not to take any action to circumvent the suspension, blocking or debarring of your access to Ibtekr Club Store (including without limitation creating and/or using a different account) in the event that Ibtekr Club suspends, blocks or debars your access to Ibtekr Club Store in whole or in part.

18.1. These General Terms and Conditions and Ibtekr Club Terms, Policies and Guidelines (and in relation to the Seller, the Seller Terms and Conditions) constitute the entire agreement between you and Ibtekr Club in relation to your use of Ibtekr Club Store and will supersede all prior agreements between you and Ibtekr Club.

19.1. In the event of a conflict between these General Terms and Conditions and the Seller Terms and Conditions, and the Ibtekr Club Terms, Policies and Guidelines, these General Terms and Conditions, the Seller Terms and Conditions, and Ibtekr Club Terms, Policies and Guidelines shall apply in the order stated in this section.

20.1. Ibtekr Club reserves the right to revise these General Terms and Conditions, the Seller Terms and Conditions, and Ibtekr Club’s Terms, Policies and Guidelines from time to time. The revised General Terms and Conditions apply from the date of publication on the Ibtekr Club Store.

21.1. No waiver of any breach of any provision of these General Terms and Conditions shall be construed as an implied or continuing waiver of any other breach of these General Terms and Conditions or any breach of any other provision of these General Terms and Conditions.

22.1. If any provision of these General Terms and Conditions is determined by any court or other competent authority to be illegal and/or unenforceable, the other provisions will remain in effect.

22.2. If any provision of these General Terms and Conditions is illegal and/or unenforceable and would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted and the rest of the provision will continue in effect.

23.1. You hereby agree that Ibtekr Club may assign, transfer, subcontract or otherwise dispose of its rights and/or obligations under these General Terms and Conditions.

23.2. You may not, without Ibtekr Club’s written consent, assign, transfer, subcontract or otherwise dispose of any of your rights and/or obligations under these General Terms and Conditions.

24.1. The contract under these General Terms and Conditions is for our benefit and your benefit and is not intended to benefit or be enforceable by any third party.

24.2. The exercise of the parties’ rights arising from a contract entered into under these General Terms and Conditions is not subject to the consent of any third party.

25.1. These General Terms and Conditions shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.

25.2. Any disputes relating to these General Terms and Conditions shall be subject to the jurisdiction of the courts of the Arab Republic of Egypt.

26.1. The Company has the right to cancel any orders placed by any customer who violates the fair use policy by using more than one purchase voucher from more than one account at the same time.

27.1. You may contact us using the contact information listed on the Contact Us page.

27.2. You may contact our vendors to inquire about after-sales inquiries

27.3. You agree to receive notices electronically from Ibtekr Club and we may provide all communications and information relating to your use of the Store in electronic form, either by posting on our website or application, or by email to the email address in your account and all such communications will be deemed to be written notices and will be properly received and delivered by you.
